AI Contract Review

AI contract review is the use of AI to check a supplier contract against an organisation's legal playbook and flag the clauses that need negotiating or a lawyer's attention. Routine contracts can then clear without waiting in the legal queue, leaving legal teams to focus on the agreements that carry real risk.

AI contract review for procurement is the use of AI to read a supplier contract, compare each clause against your organisation’s legal playbook, and flag which terms are fine, which need negotiating and which need a lawyer. Procurement teams use it to get routine contracts signed without waiting in the legal queue.

Most supplier paper is routine: SaaS order forms, NDAs, renewals on terms you’ve signed before. The problem is that it all lands in the same queue as the contracts that really need legal attention.

How does AI contract review work?

AI contract review follows the same steps a lawyer would:

  1. The contract arrives, either uploaded to the request or forwarded from a supplier’s email.

  2. AI pulls out the clauses and key details: governing law, contract value, term, renewal date, liability caps.

  3. AI compares each clause against the playbook, the document that sets out what the business accepts, what it pushes back on and what it never signs, and against what the request already says about the supplier, such as its risk tier and whether it will handle personal data.

  4. Each clause gets a risk rating, with a link back to the exact wording in the contract.

  5. Low-risk contracts move on to signature. Higher-risk ones go to legal with the findings attached.

The lawyer who picks up an escalated contract starts with a marked-up list of problem clauses instead of a 30-page PDF.

Why do procurement teams use AI contract review?

Legal is one of the most common bottlenecks in a procurement request. A requester waits days for a standard order form to come back, then chases procurement, who chases legal.

AI contract review splits the queue. Routine contracts can be cleared without joining the legal queue, and . legal teams can spends their time on the agreements where a bad clause would actually hurt, such as uncapped liability, data processing terms or auto-renewal traps.

It also fixes what happens after signature. When AI extracts renewal dates, notice periods and contract values into structured records, procurement can see what’s active, what’s expiring and what’s coming up for renewal without opening each PDF.

What shouldn’t AI contract review do?

AI contract review flags and triages. It shouldn’t rewrite a complex master services agreement or make the call on a clause your legal team has never seen before.

Deep negotiation and drafting still belong with lawyers and specialist legal tools. The value of AI review is getting routine contracts out of their way, so they have time for the ones that need them.

How much the AI decides on its own should depend on the contract. A renewal on terms you’ve signed before can clear automatically, with the decision logged for legal to check later. A high-value master agreement, or a new supplier that will handle customer data, should reach a lawyer whatever the rating. Set those thresholds by contract type, value and data sensitivity, and let legal decide what triggers their review.

How is AI contract review different from CLM?

Contract lifecycle management (CLM) covers the whole life of a contract, from drafting through signature, storage, renewal and expiry. AI contract review is one step inside that lifecycle: checking a contract before it’s signed.

Many CLMs are owned by legal and used inconsistently by procurement. Running AI contract review inside the procurement request keeps the contract tied to the supplier, the spend and the approvals that came with it.

How does Omnea handle AI contract review?

Omnea contracting includes a Document Review Agent that checks uploaded contracts against the organisation’s legal playbook. It gives each clause a stop, hold or go rating, links every finding to its source in the document, and routes the contract automatically. Low-risk contracts clear without legal involvement, and high-risk ones reach legal with full context.

Because the review sits inside the request, it works from what Omnea already knows. Agents pick up incoming contracts from your mailbox, and Omnea reads an uploaded contract to pre-fill the intake form, showing the source clause next to each field. Once the contract is signed through DocuSign or Adobe Sign, it is stored against the supplier with its spend and renewal date, and renewal workflows start ahead of the notice deadline.

Omnea also tracks every version of a contract as it’s negotiated, and shows what changed between versions. Teams can search the contract repository in plain English, and Omnea turns contracts into structured records with renewal dates and key terms. Those dates feed straight into Omnea renewal management capabilities.

“Running contracting directly in Omnea simplifies our renewal workflows, reduces the risk from lapsed or auto-renewed contracts, and saves us over two days a month on manual uploads and housekeeping.”

FAQs

Can AI review a contract without a lawyer?

For routine contracts on terms your legal team has already approved, yes. AI checks the clauses against the playbook and lets compliant contracts through. Anything outside the playbook, or above the value and data-sensitivity thresholds you define, should still go to a lawyer. Legal sets the rules once, and AI applies them to every contract that follows.

What does AI contract review check?

It checks each clause against your playbook. Common checks include liability caps, indemnities, governing law, data protection terms, payment terms, auto-renewal and notice periods, and termination rights. It also pulls out key details such as contract value and renewal date, so they’re recorded against the supplier rather than buried in a PDF.

Can AI pull data out of old contracts?

Yes. AI bulk extraction reads legacy contract PDFs and turns them into structured records, including parties, value, term, governing law and renewal dates. This is often the fastest way to find auto-renewals nobody is tracking. Spot-check a sample of the extracted records before relying on them for renewal planning.
